No third party (including any user of this site) shall have the right to assert a claim under these terms of use, conditions and provisions. We reserve the right to suspend or terminate your access to this site at anytime for any reason.

This site is intended solely for use by individuFPA who are eighteen (18) years of age or older. Any registration by, use of or access to the site by anyone under 18 is unauthorized and in violation of these terms of use, conditions and provisions. By using this site, you represent and warrant that you are 18 or older and that you agree to and to abide by all of the terms and conditions of this agreement. Registration in the site is void where prohibited.

Children under the age of 13 should not submit any personal information without the written consent of their parents or legal guardian. Costs

There may be some costs associated with the use of FPA and its Clients services. For example, your pager or cellular phone service provider may charge you to receive Wireless Text Messages. Neither FPA, its partners, affiliates, clients or licensors will be held responsible for any charges related to the use of the Services.

Users may not use the trademarks, logos and service marks ("Marks") found on the Site for any purpose, including, but not limited to, use as "hot links" or meta tags in other pages or sites on the World Wide Web, without the written permission of FPA or such third party that may own the Mark.

Rights To Use Software

The site includes certain computer software which is copyrighted by FPA and/or FPA’ partners, affiliates, clients or licensors. You agree and acknowledge that FPA and/or its partners, affiliates, clients or licensors retain title to the Software and any copies thereof. You are not purchasing title to the Software or copies thereof.

Use Of The Site Not Transferable/Assignable

The right to use the Site (including the Software and Service) is personal to each user that is authorized to use the site and is not transferable by such employee/plan participant by assignment, sublicense, or any other method to any other person or entity. Any attempt by an employee/plan participant to transfer its rights shall be void and shall constitute a breach of these Terms.

Your Representations

You represent, warrant and covenant that: (a) you are authorized to access and use the Site; (b) all instructions and information you enter into the Site related to the Services will be accurate and complete; (c) you will verify and remain solely responsible for all instructions and information entered into the Site related to the Services; (d) you will not upload, transmit, distribute or otherwise publish through the Site any materiFPA that contain a virus, worm or other harmful component or that would cause the Site to malfunction; and (e) you will not decompile, reverse engineer, disassemble or unlawfully use or reproduce any of the Software or other copyrighted or trademarked material, trade secrets or other proprietary information contained in the Site.

The Site may contain links to other Internet sites. When we include links to other internet sites we do so solely as a convenience to our visitors. Operators of such linked sites may acquire personal information about you through registration procedures or other means and may use that information in accordance with their own privacy policies, over which we have no control. Financial

We may use your financial information (including credit card transactions) to check your qualifications and Bill you for and otherwise facilitate your purchase of products and services. When you make a purchase on the Site, we will provide your financial information (including credit card transactions) to our service providers and to such third parties as we determine is necessary to process your transactions. These third parties may include the credit card companies and banking institutions used to process the transaction. FPAo, depending on the circumstances of our arrangements, we may share your financial information (including credit card transactions) with applicable Event Partners, primarily but not exclusively for facilitating "will call" ticket pick up and dispute resolution and customer service at the event venue on the date of the event. When you purchase products or services of third parties (such as magazine subscriptions) offered on eh Site, we will provide your financial information (including credit card transactions) to those third parties. Any of these various third parties are authorised to use your financial information in accordance with our contractual arrangements with such third parties and in accordance with their own privacy policies, over which we have no control.

Security

Whenever we obtain your personal information we take reasonable precautions to protect it from unauthorised access or disclosure, but we cannot act as insurers of the security of your personal information transmitted over the internet. Accordingly, we assume no liability for any disclosure of data due to errors in transmission, unauthorised third party access or other acts of third parties, or acts or missions beyond our reasonable control.

Warranty & Disclaimer

FPA PROVIDES THE SERVICES “AS IS” WITH NO WARRANTIES OF ANY KIND. FPA EXPRESSLY DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL FPA OR ITS EMPLOYEES, OFFICERS, OR DIRECTORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE SERVICES WHETHER OR NOT FPA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If you are dissatisfied with the Services or any content on any of FPA’s or its client’s website properties, or with these Terms and Conditions, your sole and exclusive remedy is to discontinue using the Services. You acknowledge, by your use of the Services, that your use of the Services is at your sole risk.

Indemnity

You agree to indemnify, defend and hold harmless FPA, its partners, affiliates, clients, licensors, employees, officers and directors, from and against any and all claims, liabilities, penalties, settlements, judgments, fees (including reasonable attorneys’ fees) arising from (i) any content that you or anyone using your account may submit, post or transmit to the web site; (ii) your use of the Services; (iii) your violation of the terms of these Terms and Conditions; and (iv) any violation or failure by you to comply with all laws and regulations in connection with the Services.

Governing Law; Severability

THESE TERMS OF USE, CONDITIONS AND PROVISIONS AND YOUR AGREEMENT WITH FPA SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO ITS CONFLICTS OF LAWS PROVISIONS. YOU AGREE TO BE SUBJECT TO SUCH LAWS AND THAT VENUE IN ANY ACTION OR PROCEEDING COMMENCED PURSUANT TO THIS AGREEMENT SHALL LIE IN THE STATE OF CALIFORNIA, COUNTY OF LOS ANGELES AND YOU IRREVOCABLY CONSENT TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS. YOU HEREBY CONSENT TO THE PERSONAL JURISDICTION OF THE FEDERAL AND STATE COURTS SITTING IN STATE OF CALIFORNIA, CITY AND COUNTY OF LOS ANGELES.

If any provision or portion thereof set forth in these terms of use, conditions and provisions is found to be unlawful, void or, for any other reason unenforceable, then such provision or portion thereof shall be deemed severable and shall not affect the validity and enforceability of any other provision. Such severable provisions shall be construed as nearly as possible to reflect the intention of these terms of use, conditions and provisions.

To the extent permitted by applicable law, you agree, that, by using this site, regardless of any statute or law to the contrary, any claim or cause of action that you may have arising out of, in connection with, or relating to, your use of this site and/or these terms of use, conditions and provisions must be filed within one (1) year after the claim or cause of action accrued or such claim or cause of action shall forever be barred.

Assignment

You may not assign any of your rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of FPA or its client’s. Any such purported assignment or delegation by you without the appropriate prior written consent of FPA or its client’s will be null and void and of no force or effect.
